1. Agreement to Terms

By accessing our website or engaging our services, you agree to be bound by these Terms of Service and our Privacy Policy. If you disagree with any part of these terms, you may not access our services.

2. Services Description

Structiqo provides custom software development services, including but not limited to:

  • MVP (Minimum Viable Product) development
  • Web and mobile application development
  • SaaS platform engineering
  • AI integration and automation solutions
  • System integrations and API development
  • Technical consulting and architecture design

3. Service Agreements

Specific terms for individual projects will be outlined in separate service agreements or statements of work (SOWs). These project-specific agreements will detail scope, deliverables, timelines, and pricing.

4. Client Responsibilities

Clients agree to:

  • Provide timely feedback and approvals as required
  • Supply necessary materials, access, and information
  • Designate authorized representatives for decision-making
  • Ensure all provided content is legally compliant and non-infringing
  • Make payments according to agreed terms
  • Maintain confidentiality of any sensitive information shared during the project

5. Payment Terms

Unless otherwise specified in a project agreement:

  • Payment schedules will be outlined in project proposals
  • Invoices are typically due within 14 days of issuance
  • Late payments may incur interest charges
  • Work may be paused if payments are significantly overdue
  • All prices are quoted in USD unless otherwise stated

6. Intellectual Property Rights

Client-Owned IP

Upon full payment, clients receive ownership of custom code and deliverables specifically created for their project, subject to any third-party licenses.

Structiqo-Owned IP

We retain ownership of pre-existing frameworks, libraries, tools, and general methodologies used in delivering services. Clients receive a license to use these components as part of the delivered solution.

Third-Party Components

Projects may incorporate third-party open-source libraries or commercial components, subject to their respective licenses.

7. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the engagement. This obligation survives termination of the service agreement.

8. Warranties and Disclaimers

We warrant that:

  • Services will be performed with professional care and skill
  • Deliverables will substantially conform to agreed specifications
  • We have the right to provide the services

However, except as expressly stated:

  • Services are provided "as is" without warranties of any kind
  • We do not guarantee uninterrupted or error-free operation
  • We are not responsible for third-party services or components

9. Limitation of Liability

To the maximum extent permitted by law, Structiqo's total liability for any claims arising from services shall not exceed the total fees paid by the client for the specific project in question. We are not liable for indirect, consequential, or incidental damages.

10. Project Changes and Scope

Changes to project scope may require additional time and costs. Significant scope changes will be documented in writing and require mutual agreement before implementation.

11. Termination

Either party may terminate a project agreement:

  • For convenience with written notice (typically 14-30 days)
  • Immediately for material breach that remains uncured
  • If the other party becomes insolvent or bankrupt

Upon termination, clients remain responsible for payment of work completed to date.

12. Support and Maintenance

Post-launch support and maintenance services are available under separate agreements. Bug fixes during defined warranty periods are provided as specified in project agreements.

13. Dispute Resolution

Any disputes shall first be addressed through good-faith negotiation. If unresolved, disputes may be subject to mediation or arbitration as specified in project agreements.

14. Governing Law

These terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.

15. Changes to Terms

We reserve the right to modify these terms at any time. Continued use of our services after changes constitutes acceptance of the modified terms.
